(a) Your access to and use of the Site;
(b) Your registration on any waitlist, research-access program, or user account managed by us; and
(c) The quotation, ordering, sale, and supply of any products, research materials, chemical compounds, or research bundles (collectively, "Products") listed on the Site.
1.4 Acceptance. By accessing the Site, joining our waitlist, registering an account, or placing an order for Products, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you must immediately cease using the Site and must not order any Products.
2. RESEARCH USE ONLY (RUO) MANDATE & ABSOLUTE PROHIBITIONS
2.1 STRICTLY RESEARCH USE ONLY. ALL PRODUCTS OFFERED, DISPLAYED, OR SUPPLIED BY THE COMPANY ARE EXCLUSIVELY FOR IN VITRO, LABORATORY, AND SCIENTIFIC RESEARCH PURPOSES ONLY. PRODUCTS ARE NOT MEDICINES, MEDICAL DEVICES, FOODS, FOOD SUPPLEMENTS, COSMETICS, OR CONSUMER GOODS.
2.2 PROHIBITION OF HUMAN OR VETERINARY CONSUMPTION. PRODUCTS ARE STRICTLY NOT FOR HUMAN OR VETERINARY CONSUMPTION, INGESTION, INJECTION, TOPICAL APPLICATION, OR THERAPEUTIC USE. YOU EXPRESSLY COVENANT, WARRANT, AND UNDERTAKE THAT YOU SHALL NOT:
(a) Administer, ingest, inject, or apply any Product (or allow any third party to administer, ingest, inject, or apply any Product) to yourself or any other human being or animal;
(b) Use any Product for clinical trials, diagnostic procedures, therapeutic treatment, body transformation, sports performance enhancement, biohacking, or personal cosmetic purposes;
(c) Re-package, re-label, compound, or mix any Product into any food, drink, supplement, medicine, cosmetic, or therapeutic delivery vehicle for human or animal use; or
(d) Resell, supply, or distribute any Product to any individual or entity where you know, or reasonably ought to suspect, that the recipient intends to use or supply the Product for human or veterinary administration.
2.3 NO MEDICINAL OR THERAPEUTIC CLAIMS. Nothing contained on the Site, in product documentation, Certificates of Analysis (CoAs), email communications, or marketing materials constitutes medical advice, clinical guidance, dosing instructions, or therapeutic claims. Any technical documentation provided (including molecular weights, sequence data, purity percentages, and CAS numbers) is provided solely for chemical identification and laboratory quality assurance purposes.
2.4 BREACH AND IMMEDIATE TERMINATION. ANY BREACH OF THIS CLAUSE 2 CONSTITUTES A MATERIAL BREACH OF CONTRACT. In the event of any suspected or actual breach of Clause 2, we reserve the right, without liability and without prejudice to our other legal remedies, to:
(a) Cancel any pending or accepted orders immediately;
(b) Blacklist and permanently terminate your account and access to the Site; and
(c) Report any unlawful, unauthorized, or unsafe handling of regulated substances to relevant regulatory authorities, including the Medicines and Healthcare products Regulatory Agency (MHRA) and law enforcement agencies.
3. ELIGIBILITY, PURCHASER WARRANTIES & B2B STATUS
3.1 Age Restriction (18+). The Site and Products are strictly intended for individuals aged 18 years or older. By entering the Site, completing an age-gate attestation, joining our waitlist, or placing an order, you represent and warrant that you are at least 18 years of age. Underage access or purchase is strictly prohibited.
3.2 Business and Qualified Research Status. The supply of Products is conducted strictly on a Business-to-Business (B2B) and institutional research basis. By submitting an order or requesting a quote, you represent, warrant, and undertake that:
(a) You are ordering on behalf of a business, academic institution, contract research organisation (CRO), qualified laboratory, or as an independent qualified scientific researcher;
(b) You possess the necessary laboratory facilities, safety equipment, protocols, and technical competence to store, handle, use, and dispose of chemical research materials safely and in compliance with all applicable UK health, safety, and environmental laws; and
(c) You are purchasing Products solely for legitimate scientific research and not as a consumer as defined under Section 2(3) of the Consumer Rights Act 2015.
3.3 Verification Right. We reserve the right, at our absolute discretion, to request proof of age, institutional affiliation, laboratory location, business registration, or technical qualification prior to accepting or dispatching any order.
4. PRODUCT INFORMATION, ACCURACY & CERTIFICATES OF ANALYSIS
4.1 Purity and Specifications. Products are supplied in lyophilised (freeze-dried) powder form or specified research physical states as indicated on the relevant Product Datasheet. Where stated on the Site or accompanying documentation, Products are third-party verified for purity (target standard ≥98%) via High-Performance Liquid Chromatography (HPLC) and Mass Spectrometry (MS).
4.2 Certificates of Analysis (CoAs). Individual lot/batch CoAs are made available for research verification purposes. CoAs represent laboratory testing performed on representative lot samples at the time of testing and do not constitute a warranty of fitness for any specific experimental protocol or non-laboratory application.
4.3 No Sterility Claims for Clinical Use. Unless accompanied by a batch-specific sterile release certificate issued for specific industrial or technical applications, Products are supplied as raw research chemical substances and are not guaranteed sterile for clinical or parenteral administration to humans or animals.
4.4 Variations. Due to the nature of chemical synthesis and lyophilisation processes, minor visual variations in cake appearance, vial color, or secondary packaging may occur and do not constitute a defect, provided the chemical specification and purity meet documented standards.
5. ORDERS, PRICES & PAYMENT
5.1 Invitation to Treat. Product listings, descriptions, and prices published on the Site constitute an invitation to treat and not a contractual offer.
5.2 Order Process. Orders placed through the Site represent a binding contractual offer by you to purchase Products under these Terms. Upon placing an order, you will receive an automated email acknowledging receipt of your order ("Order Acknowledgment"). An Order Acknowledgment does not constitute acceptance of your order.
5.3 Contract Formation. A binding contract between us and you ("Contract") is formed only when we issue a formal written dispatch confirmation email ("Dispatch Confirmation") or physically dispatch the Products to you, whichever occurs first.
5.4 Right of Refusal. We reserve the right to decline or cancel any order (or part thereof) at any time prior to dispatch without liability, including where:
(a) Products are out of stock or discontinued;
(b) We identify a pricing or description error on the Site;
(c) We suspect a violation of Clause 2 (RUO Mandate) or Clause 3 (Eligibility); or
(d) We are unable to obtain authorization for your payment or pass required security and compliance checks.
5.5 Pricing and Taxes.
(a) Prices for Products are quoted in Pounds Sterling (GBP, £) and are subject to change without notice.
(b) Unless expressly stated otherwise, prices are quoted in GBP and exclusive of any VAT. As of the board attestation date, the Company is not VAT-registered. If the Company becomes VAT-registered, VAT will be charged at the applicable UK statutory rate where legally required and invoices will show the VAT number. Pending any formal accountant ruling on the VAT treatment of research-use-only peptide supply, Finance must lock tax configuration before go-live (see OPTAAA-63/65).
(c) You shall be responsible for paying all applicable taxes, duties, customs fees, and import clearance charges applicable to your order.
5.6 Payment. Payment must be made in full in cleared funds at the time of placing an order via an approved payment method (e.g., bank transfer, approved debit/credit card, or merchant gateway). Orders will not be processed or dispatched until payment has cleared.
6. DELIVERY, TITLE & RISK
6.1 Delivery Locations. We deliver Products to verified research addresses within the United Kingdom and to selected international jurisdictions where research chemical import is permitted by applicable local law. We do not deliver to PO Boxes, freight forwarding addresses, or residential addresses where we suspect non-research intent.
6.2 Delivery Costs and Timelines. Delivery charges and estimated transit times are calculated at checkout. Delivery dates are estimates only and time of delivery is not of the essence. We shall not be liable for any delay in delivery caused by customs clearance procedures, carrier delays, or force majeure events.
6.3 Risk and Title.
(a) Risk of loss or damage to Products passes to you upon delivery of the Products to the carrier or upon delivery to your designated delivery address, whichever occurs first.
(b) Title to Products passes to you only when we receive full payment of all sums due in respect of the Products, including delivery charges.
6.4 Import & Export Compliance. You are strictly responsible for ensuring that the import, possession, storage, and laboratory use of Products complies with all applicable local, national, and international laws, customs regulations, and chemical control frameworks in your jurisdiction.
7. CANCELLATION, RETURNS & DEFECTIVE GOODS
7.1 Exclusion of Consumer Cancellation Rights. As all transactions are strictly B2B research material supplies, statutory consumer cooling-off rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply.
7.2 Chemical Integrity & Temperature Sensitivity. Due to the temperature-sensitive nature, chemical stability requirements, and quality preservation standards of lyophilised research peptides, Products cannot be returned for refund or exchange once dispatched, except where Products are proven to be defective or damaged upon arrival.
7.3 Inspection and Defect Notification.
(a) You must inspect all Product deliveries immediately upon receipt.
(b) Any claims for damaged, missing, short-shipped, or defective Products must be submitted in writing to compliance@optimizerpeptides.com within forty-eight (48) hours of delivery, specifying the order number, batch number, and photographic evidence of damage or defect.
(c) Failure to notify us within forty-eight (48) hours shall constitute irrevocable acceptance of the Products as delivered.
7.4 Remedies for Defective Goods. Where a Product is proven to our reasonable satisfaction (including, where requested, independent laboratory analysis) to be defective in purity or specification at the time of delivery, our sole liability, and your exclusive remedy, shall be limited to (at our option):
(a) Replacing the defective Product free of charge; or
(b) Refunding the purchase price paid for the defective Product.
8. LIMITATION OF LIABILITY & INDEMNITY
8.1 Statutory Exclusions Not Affected. Nothing in these Terms shall limit or exclude our liability for:
(a) Death or personal injury caused by our negligence;
(b) Fraud or fraudulent misrepresentation; or
(c) Any other liability which cannot be excluded or limited under the law of England and Wales.
8.2 Exclusion of Consequential and Indirect Losses. SUBJECT TO CLAUSE 8.1, THE COMPANY SHALL NOT BE LIABLE TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, ARISING UNDER OR IN CONNECTION WITH THE SITE, THESE TERMS, OR ANY CONTRACT FOR:
(A) LOSS OF PROFITS, SALES, BUSINESS, OR REVENUE;
(B) LOSS OF AGREEMENTS OR CONTRACTS;
(C) LOSS OF ANTICIPATED SAVINGS;
(D) LOSS OF OR DAMAGE TO GOODWILL OR REPUTATION;
(E) LOSS OF DATA, RESEARCH TIME, OR EXPERIMENTAL SAMPLES; OR
(F) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE.
8.3 Cap on Direct Liability. SUBJECT TO CLAUSE 8.1 AND CLAUSE 8.2, OUR TOTAL AGGREGATE LIABILITY TO YOU IN RESPECT OF ALL LOSSES ARISING UNDER OR IN CONNECTION WITH ANY CONTRACT OR USE OF THE SITE SHALL IN NO CIRCUMSTANCES EXCEED THE TOTAL PURCHASES PRICE PAID BY YOU FOR THE PRODUCTS GIVING RISE TO THE CLAIM OR £1,000 (ONE THOUSAND POUNDS STERLING), WHICHEVER IS LOWER.
8.4 Buyer Indemnity. YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS FROM AND AGAINST ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES, AND LEGAL FEES (CALCULATED ON A FULL INDEMNITY BASIS) ARISING OUT OF OR IN CONNECTION WITH:
(a) Any breach by you of Clause 2 (Research Use Only Mandate) or Clause 3 (Eligibility);
(b) Any handling, storage, experiment, human or animal administration, resale, or disposal of Products by you or any third party obtaining Products through you;
(c) Any negligent, reckless, or intentional misapplication of Products; or
(d) Any violation by you of applicable health, safety, medicines, or chemical control laws.
9. INTELLECTUAL PROPERTY & SITE ACCESS
9.1 Ownership. All intellectual property rights in the Site, its layout, design, text, graphics, branding, trade marks ("Optimizer Peptides"), chemical structures, and documentation are owned by or licensed to the Company. All rights are reserved.
9.2 Permitted Use. You may view, download, and print pages from the Site solely for your internal research evaluation, placing orders, or personal non-commercial reference, subject to these Terms.
9.3 Prohibited Actions. You must not modify, adapt, reverse engineer, scrape, extract, or redistribute any Site content without our express prior written consent.
10. GOVERNING LAW & JURISDICTION
10.1 Governing Law. These Terms, any Contract, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Jurisdiction. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, any Contract, or their subject matter or formation.
